Cognition is in talks at $40 billion, for a coding company

Early talks would lift the coding startup's valuation more than 50% to at least $40 billion. Coding is the one agent application with demonstrated willingness to pay — and the one where the underlying model cost is falling fastest.

Cognition is in early talks with investors on a round that would raise its valuation by more than 50%, to at least $40 billion. The company builds coding agents.

Why coding carries these numbers

Of every agent application pitched in the last two years, coding is the one with a demonstrated market. The work is verifiable — the tests pass or they do not — the users are technical enough to supervise, and the budget already exists because it was previously spent on engineers. Nothing else in agents has all three.

The tension in the same market

Coding is also where the substrate is commoditising fastest. Cost per unit of intelligence fell roughly 50% this month, and the top open-weight models are increasingly coding models with permissive licences. A $40 billion valuation has to rest on something other than access to a capable model, because that access is getting cheaper by the month.

The defensible answer is the surrounding system — the harness, the repository context, the review loop, the integration into how a team actually ships. That is a real product, and it is also the part that is hardest to show in a benchmark.

The comparison worth holding

Cerebras, which manufactures wafer-scale AI chips, is reported around $8.1 billion on more than $2.8 billion raised. A coding-agent company is in talks at roughly five times the valuation of a company that fabricates silicon. That may be correct — software margins are not fab margins — but it is the sort of ratio worth writing down and revisiting.
